Current Humboldt Republican Central Committee Bylaws
BYLAWS
OF THE
REPUBLICAN PARTY IN HUMBOLDT COUNTY
WHEREAS, the Humboldt County Central Committee is by virtue of law the sole official body with authority to guide the Republican Party in Humboldt County and to coordinate its activities in Humboldt County with those of the Nevada Republican Party and the Republican National Rules.
NOW THEREFORE, the following BYLAWS are hereby adopted and declared to be the BYLAWS for the Humboldt County Republican Central Committee.
ARTICLE I. NAME
The name of this organization shall be “The Humboldt County Republican Central Committee”, hereinafter referred to as HCRCC.
ARTICLE II. PURPOSE
The purpose of the HCRCC shall be the election of Republican candidates for public office.
Section I: The specific objectives of the HCRCC shall be:
A. To maintain the Republican party presence and voice in public policy in Humboldt County.
B. To identify, recruit and support, qualified candidates to run for public office as Republicans. To raise funds for campaigns and assist with effective campaign organizations; and,
C. To support Republicans currently holding public office.
ARTICLE III. HCRCC MEMBERS
Section I: Initial Organization
A. The HCRCC shall be reconstituted in each election year by the Humboldt County Republican Convention. The membership shall be elected by the delegates to such convention.
B. Membership shall be allocated to each precinct proportional to the number of registered Republican voters therein as of January of even numbered years. Each precinct shall have at least one member and no precinct shall have more members than its authorized number of delegates to the county convention.
C. After the county convention, the composition of the county central committee may be changed by the HCRCC to reflect changes in the organization of precincts and in the number of registered voters of the party, using the same standards, adopted by the party to elect delegates to the county convention per NRS.
Section II: Voting Members
A. To be eligible for membership in the HCRCC, a person must be a registered Republican voter in Humboldt County, Nevada and must believe in the principles of the Republican Party, intend generally to support its candidates, and must physically reside within the precinct said person would represent.
B. Members are elected at the county convention, the number being determined by the convention, but each voting precinct, entitled to one (1) or more committeeperson, and no precinct may have more committeepersons than its authorized number of delegates to the county convention.
C. Members of the HCRCC, having been elected at the Humboldt County Republican Convention, shall serve for a period of two (2) years and/or until their successors have been elected.
D. Each member shall keep the Secretary advised of the correct mailing address, email address and telephone numbers.
E. It shall be each member’s responsibility to be familiar with these By-Laws.
Section III: Honorary Members
A. Shall include, but not be limited to the following individuals in good standing with the HCRCC, unless they are duly elected members of the HCRCC:
1. The immediate Past County Chairperson of the HCRCC;
2. Current Presidents of County and State Republican Women’s Clubs;
3. Current President of Nationally recognized Republican auxiliary groups such as Hispanic Republicans, Black Republicans, Young Republicans, and Native American Republicans;
4. Republican State Legislators representing Humboldt County, Nevada in the State Legislature;
5. Republicans elected to Humboldt County offices and Republicans elected to City or Town offices in Humboldt County;
6. Officers of the Republican State Central Committee residing in Humboldt County, Nevada;
7. Members of the Republican National Committee residing in Humboldt County, Nevada; and
B. Have no vote, may not make motions, and shall not be counted in the quorum. May participate in discussion and debate.
C. Shall receive written notification of, and be encouraged to attend and participate in all meetings, as stated in B above.
Section IV: Resignation, Removal and Replacement of Members
A. Should a member resign, be unable to serve, or become inactive by having unexcused absences from three (3) consecutive duly called meetings of the HCRCC, the HCRCC may, at its absolute discretion remove said member from its membership rolls.
B. Membership vacancies may be filled between county conventions by the HCRCC.
C. Members are expected to attend the regular meetings of the HCRCC.
D. The HCRCC or its Executive Committee may remove at their absolute discretion any individual from membership in its respective body upon disaffiliation with the Republican Party, or any other reason consistent with NRS 293.157.
E. During an election, any HCRCC member who publicly supports any opposition party candidate or publically endorses one Republican candidate over another before the primary election may be removed from membership upon review by the HCRCC.
F. The HCRCC may replace a Humboldt County member of the Nevada Republican Central Committee (NRCC) for failure to attend NRCC meetings either in person or by proxy.
ARTICLE IV. OFFICERS
Section I: Election of Officers
Election of officers of the HCRCC shall be held during the first quarter meeting of every odd-numbered year. Newly elected officers shall assume their duties immediately following the election. The election of officers shall be by written ballot.
Section II: Terms of Office
The term of office for those elected in accordance with Section I above is two (2) years.
ARTICLE V. DUTIES OF OFFICERS AND EXECUTIVE COMMITTEE
Section I: Overall Responsibility
The HCRCC shall be charged with the responsibility for the management of the Republican Party of Nevada within the Humboldt County.
Section II: Executive Committee
A. The Executive Committee shall consist of the following members: Chairman, Vice Chairman, Secretary, Treasurer and the members of the NRCC selected by HCRCC who are not otherwise members of the Nevada Republican Central Committee by way of BYLAWS of the NRCC.
B. The Executive Committee shall have the authority to transact any necessary business between meetings of the HCRCC with approval of not less than five members of the HCRCC at least two of them being officers, one being either the Chairman or Vice-Chairman.
C. The Executive Committee may make recommendations regarding business decisions of the HCRCC and advise the Chairman accordingly. Any action taken by the Executive Committee shall be reported to the HCRCC at its next regular meeting.
D. Two members of the Executive Committee shall be custodians of the Post Office Box Keys. This will ensure no lapse in communication in the event of one member’s availability.
E. All correspondence, letter or email or otherwise, shall be read or made available by the Executive Committee at each meeting of the HCRCC for review by the members present. All communications shall be passed to the Secretary for insertion in the archives of the HCRCC.
Section III. Officers
The following officers of the HCRCC shall be elected pursuant to Article 4, and their duties are described as follows:
A. Chairman: The Chairman shall preside at all meetings and be responsible for general supervision of the HCRCC and its Executive Committee. The Chairman shall appoint the chairman and members of the standing committees and special committees as may be required. The Chairman shall be entitled to membership on the NRCC. The chairman shall appoint a Parliamentarian to serve for two years. The Chairman will ensure that rules of the Convention are submitted to the NRCC per Article 12, Section 5 of the State BYLAWS. The Chairman shall be responsible for certifying delegates to the County and State Conventions.
B. Vice Chairman: The Vice Chairman shall perform the duties of the Chairman in the latter’s absence, and shall be responsible for developing and maintaining a Republican Party presence in every precinct in the county and organizing precinct caucus’ in each election year. The Vice Chairman shall be entitled to membership on the Nevada Republican Central Committee.
C. Secretary: Shall keep minutes of all meetings and shall distribute minutes to all members of the HCRCC electronically. The call for a meeting must be accompanied by an agenda of the upcoming meeting within seven (7) days of the date for a regular meeting. For special meetings, minutes and agenda should be distributed as soon as possible before the meeting.
1. Shall keep a current record of names, addresses, including email and phone numbers of HCRCC members, by precinct.
2. Shall be custodian of all records of the HCRCC and its committees and have them available for any member of the HCRCC to view.
3. Shall take roll at each HCRCC meeting for purposes of establishing that quorum is present to conduct business and to maintain a record of attendance.
4. Shall provide each new member with a copy of the BYLAWS of this organization and shall post the BYLAWS on the County Website.
D. Treasurer
1. Shall receive and be custodian of all monies and financial records of this organization and shall keep an accurate account of all monies received and disbursed.
2. Shall disburse monies owed only upon proper authorization from the HCRCC. All checks must have the signature of at least two (2) of the following: Chairman, Vice Chairman, Secretary, or Treasurer.
3. Shall maintain accounts of HCRCC in approved banks or institutions.
4. Shall submit a written, signed and dated financial report at each HCRCC meeting and make a full and complete written report at the County Convention.
5. Shall submit all books of account, vouchers, and receipts for audit as required and at the end of the two-year term.
ARTICLE V. HCRCC MEETINGS
The HCRCC shall meet quarterly, but no less than four times per year, with at least one meeting during each quarterly period or upon the call of the Chairman.
A. Meeting Notice
The Secretary shall provide written notice of all regular HCRCC meetings at least seven (7) days in advance of such meeting together with an agenda if time permits. Meeting notice shall be provided by e-mail. This notice should also be placed on the website of HCRCC.
B. Special Meetings
Special meetings of the HCRCC or its Executive Committee may be held upon call of the Chairman or upon written request of three members of the Executive Committee.
C. MEETINGS (Paragraph A & B Above)
1. All meetings of the HCRCC shall be open to any registered Republican, to a member of good standing of the Humboldt County Young Republicans, unless an executive session is called at the discretion of the Chairman or presiding officer or by majority vote of members present. Each member shall have a voice and one (1) vote.
2. A minimum of five (5) members present, two being officers, of the duly designated voting members of the HCRCC shall constitute a quorum for the transaction of business.
ARTICLE VI. Precinct Meetings
A. Precinct meetings for all registered Republican voters in Humboldt County shall be the responsibility of the HCRCC which shall be posted at least thirty (30) days prior to the County Convention, held every two (2) years, in the year of a general election per NRS 293.135.
B. All registered Republican voters residing within that precinct may attend and participate.
C. Notice for precinct meetings must be given at least ten (10) days in advance of the meeting, in a newspaper circulated within the County in accordance with the guidelines set forth in NRS 293.130 and NRS 293.137. Such meeting notice shall also be posted on the Humboldt County Republican Party website.
D. The purpose of the precinct meeting is:
1. The election of delegates to the County Convention
2. Submitting of written platform suggestions.
E. For instructions and forms per NRS 293.133.
ARTICLE VII. County Conventions
A. The County Convention for all registered Republican voters in Humboldt County shall be the responsibility of the HCRCC and shall be called at a time and date set by the NRCC to be held each year in which a general election is held. .
B. Any registered Republican residing in Humboldt County may attend this convention; however, only delegates duly elected at their precinct meeting are eligible to vote.
C. The purpose of the County Convention is:
· The election of a County Central Committee.
· The election of delegates to the Nevada State Convention.
· The adoption of a County Platform, if called for.
D. Notice of the date, time and place of the county convention is to be published in a newspaper of general circulation in the County in accordance with NRS 293.130, via email to all members of HCRCC, and on the website, and shall be placed ten (10) business days in advance of the convention. Notice shall also be placed at location of the actual meeting place.
ARTICLE VIII. COMMITTEES
The following committees shall be appointed by the County Chairman. Other committees may be appointed as deemed appropriate by the HCRCC.
A. Fund-Raising: This committee is responsible for raising sufficient funds for the operation of the HCRCC and support of Republican candidates for public office in Humboldt County.
B. Bylaws: This committee shall maintain a copy of the current bylaws of the HCRCC. They must have a thorough knowledge of these bylaws. They must meet at least once in the calendar year preceding a county convention for the purpose of proposing revisions, if any, to the current bylaws of HCRCC. They may revise, edit, or amend the bylaws as needed at any time and must ensure that any bylaws changes are ratified in a manner prescribed in these BYLAWS.
ARTICLE IX. PARLIAMENTARY AUTHORITY
A. Rules of Procedure: The latest edition of Roberts Rules of Order, newly revised, shall govern all proceedings except when inconsistent with these BYLAWS in which case the BYLAWS shall govern.
B. Conflict of Laws: Nothing in the BYLAWS shall be interpreted in a manner contrary to the provisions of the Election Laws contained in the Nevada Revised Statutes, the BYLAWS of the NRCC, or the Republican National Rules.
ARTICLE X. AMENDMENTS
A. These By-Laws may be amended at the HCRCC Convention by a majority of the Delegates present.
B. These By-Laws may be amended by a Two-Thirds (2/3) vote at any HCRCC meeting, provided a quorum is present.
C. If time does not permit an amendment to be presented at one meeting of the HCRCC and voted on at the next, then the proposed amendment must be set forth, in full, in a written notice to each member of the HCRCC, at least thirty (30) days prior to the meeting when it will be voted on.
D. Any suggested amendment to these Bylaws must be made to the HCRCC Bylaw committee in writing and shall be presented to the next Humboldt County Republican Convention for ratification. Such amendment shall be in full force and effect from the time made, until either ratified or declined by the Humboldt County Convention.

C. If time does not permit an amendment to be presented at one meeting of the HCRCC and voted on at the next, then the proposed amendment must be set forth, in full, in a written notice to each member of the HCRCC, at least thirty (30) days prior to the meeting when it will be voted on.
D. Any suggested amendment to these Bylaws must be made to the HCRCC Bylaw committee in writing and shall be presented to the next Humboldt County Republican Convention for ratification. Such amendment shall be in full force and effect from the time made, until either ratified or declined by the Humboldt County Convention.
